SAP HANA Innovation Award 2017

Official Rules

1.     Introduction. The SAP HANA Innovation Award Program (“Program”) is a skill based contest in which participants (“Entrants”) submit an application (“Form”) in a format provided by SAP (“Sponsor”).  The Form should provide details about  either how  an SAP customer (“Customer”)  has successfully deployed a business application that utilizes SAP HANA, SAP HANA Cloud Platform, or another SAP Platform & Technology solution in their organization or how  an SAP partner or member of the SAP Startup Focus program (SAP partners and SAP Startup Focus members will collectively be referred to as “Partner”) has built (though not necessarily deployed) a business application using SAP HANA, SAP HANA Cloud Platform, or another SAP Platform & Technology solution that is intended to be sold to and used by that Partner’s customers (the “Entry”). The implementations or other business application that is the subject of the Entry must have primarily taken place in an Eligible Country (as determined solely at Sponsor’s discretion).

2.     Term. Eligible Entrants may participate in the Program by submitting an Entry between December 9th, 2017, at 9 a.m. Pacific Time (“PT”) and March 17th, 2017, at 6 p.m. PT (the “Program Period.”). Entrants are required to determine the appropriate beginning and ending times in the Program Period for their respective jurisdictions.

3.     Eligibility. Entrants must (i) be eighteen (18) years or older; (ii) reside in one of the Eligible Countries; (iii) be an employee of the Customer or Partner about whom the Entry is being submitted (or alternatively a designated third party with authorization to represent the Customer or Partner); and (iv) have express prior written authorization from the Customer or Partner to enter the Program on behalf of that Customer or Partner subject to the Official Rules. For avoidance of doubt, all references to “Entrant(s)” and the rights and obligations associated with these references shall include and apply to the entity on whose behalf the Entry is submitted.

Individuals who are employees, officers, directors, agents, or partners of Sponsor and its respective parents, subsidiaries, affiliates and advertising and promotion agencies (collectively, “Program Entities”), and the immediate family members (spouses, domestic partners and parents, children and siblings and their spouses or domestic partners, regardless of where they live) or members of the same households (whether related or not) of such individuals are not eligible to win.

EMPLOYEES OF THE UNITED STATES GOVERNMENT OR THE GOVERNMENT OF ANY U.S. STATE, U.S. TERRITORY, OR FOREIGN STATE OR TERRITORY (“GOVERNMENT ENTRANTS”) MAY ONLY PARTICPATE UNDER THE LIMITED CIRCUMSTANCES SET FORTH IN THESE OFFICIAL RULES. Sponsor reserves the right to verify eligibility and to adjudicate in its sole and absolute discretion on any dispute related to this Program at any time. The Program is subject to all federal, state, and local laws and is void where prohibited. Entrants in the Program agree to be bound by these Official Rules and the decisions of the Sponsor.

Entrant warrants that the appropriate corporate officers, executives, managers or other persons of the entity on whose behalf the Entry was submitted have approved the Entry, and understand and agree that these Official Rules will be binding on both the individual submitting the Entry and the entity on whose behalf the Entry was submitted. The Entrant understands that if the Entry is submitted without obtaining the appropriate approval, Sponsor may, in its sole discretion, disqualify the Entrant, the Customer, Partner, and the Entry. Furthermore, in the case of a third party entering on behalf of a Customer, participation by Entrant is subject to Sponsor receiving written confirmation from an authorized representative of the Customer indicating that Customer’s acceptance of the Official Rules.

4.     Entry Categories and Tracks. There are two (2) Entry tracks (“Tracks”), a Customer Track and a Partner Track, and three (3) Entry categories (“Categories”). The Categories are the same in each Track. Entrants may submit one (1) Customer Track Entry and one (1) Partner Track Entry for a maximum of two (2) total Entries to the Program. The Customer Track Entry and the Partner Track Entry may be in different Categories. Entries will be judged against other Entries in the same Track and Category. The Categories and Tracks are defined as follows:

Categories

·         Digital Trailblazer: Entrants should present stories of true game-changing innovation.  For example, using technology to expand into and lead new markets or ecosystems; enable new business models; expand into new industries and regions; or digitization of products and services.

·         Social Hero: Entrants should present stories of powerful social or public impact.  For example, stories showing how companies enable dramatic changes in how people live their lives (smarter homes) or significant improvements in public services (city of the future, social services).

·         Process Innovator: Entrants should present stories of transformative improvements to current business models, processes and operations.  For example, using technology to reduce costs or improve efficiencies to the point that a company catapults into a leading position in their industry; projects that leverage technology to eliminate business risks, or enable game changing capabilities such as predicting outcomes and using real time access to data to improve decision making.

Tracks

·         Customer Track: Entrants must present solutions that have been deployed at and for the benefit of themselves (they are the Customer) or at and for the benefit of another company for whom the Entrant was the implementation Partner (the other company is the Customer).  For all Entrants in the Customer Track, the Customer (who may or may not be the same as the Entrant) is eligible to be named as a Program winner and receive awards subject to the Official Rules.

·         Partner Track: Entrants must present solutions involving commercial business applications that they have developed on top of one or more SAP Platform and Technology solutions and that are intended to be sold to and used by the Entrant’s customers.  The Entrant’s business application does not need to be in production or “Live” at a Customer site; however, the Entrant may reference and include details and results from Customer deployments in their Entry with that Customer’s agreement. For all Entrants in the Partner Track, the Entrant (who is assumed to be the same as the Partner) is eligible to be named as a Program winner and receive awards subject to the Official Rules.

5.     How to Enter. Entrants should submit an Entry by completing the Form provided by Sponsor on the Program website (http://www.innovation.saphana.com ). Entrants must complete all fields in the Form to qualify. Entries must be in English. Entrants must affirmatively declare the Track and Category for which the Entry is being submitted.

If an Entry is incomplete or does not comply with the specifications and rules, then the Entry will be disqualified. Sponsor is not responsible for lost, late, incomplete, misdirected, or delayed Entries, nor is Sponsor responsible for failed Internet connections, unavailability of servers or any other technical malfunctions for any reason. Entrants should retain a copy of all materials submitted for the Program, as Sponsor will not return any of the Entries. All decisions by Sponsor are final and absolute and are not subject to inquiry or appeal. Any expenses Entrants incur during the submission process are their sole responsibility.

6.     Special Recognition. Entrants will have the option to enter the name of any Partner(s) that were involved in their implementation on the Form. Any Partners that are included in the Entry will be eligible for special recognition by Sponsor.

7.     Judging and Winner Notification. Eligible Entries will be judged against the other Entries in their respective Track and Category. There will be one (1) round of judging for each Track and Category.

Judging will take place between Mar 29th and Apr 11th, 2017. Each Entry will be reviewed and scored (“Judged”) by Judges assigned to the Entry’s Track and Category by Sponsor.  Judges are selected by Sponsor and include both employees and non-employees of Sponsor.  The Entry with the highest total score in each Category in each Track will be named as the 1st Place Winner for that Track and Category. The Entry with the second highest total score in each Category in each Track will be named as the 2nd Place Winner for that Track and Category.  There will be a total of twelve (12) Program winners (“Winners”).  Each Entry will be evaluated by the Judges based on the following criteria:

1.     Human impact - To what degree does the Entrant’s solution impact people’s (society) or employees’/customers’ (business) lives?

2.     Business or social value created - To what degree does the solution create business or social value? The focus of this criteria will depend on the Category selected for the Entry.

3.     Creativity or Complexity of the Use Case - To what degree does the Entry demonstrate innovative thinking, creativity and complex application of technology to business challenges?

4.     IT impact - To what degree does the Entry demonstrate innovation in the design and architecture of the solution? 

5.     Entry fit with Category - To what degree does the Entry exemplify the criteria for the selected Category?

Each of these criteria will be equally weighted.

In the event of a tie, the Entry that received the higher score from the Judges for “ Human impact” will be selected as the Winner. In the event a Winner is disqualified for any reason, the Entry that received the next highest total score will be chosen as the alternate Winner.

Winners will be notified on or about April 19th, 2017, either by telephone or email at Sponsor’s discretion. If a Winner does not respond to the notification attempt within twenty-four (24) hours from the first notification attempt, then such Winner will be disqualified and an alternate Winner will be selected. With respect to notification by telephone, such notification will be deemed given when a Winner engages in a live conversation with Sponsor or when a message is left on the Winner’s voicemail service or answering machine by the Sponsor, whichever occurs first. 

Except where prohibited by law, the Winners may be required to sign and return a Declaration of Eligibility and Liability and Publicity /Photo Release and provide any additional information that may be required by Sponsor. If required to submit documents prior to receipt of any prize, Winner must return all such required documents within three (3) days following attempted notification or such Winner will be deemed to have forfeited the prize and another Winner will be selected based on the judging criteria described herein. All notification requirements, as well as other requirements within these Official Rules, will be strictly enforced.

8.     Prizes. Prizes will be awarded to the top two (2) Entries in each of the three (3) Categories for both the Customer and Partner Tracks. Each Winner will receive the following:

o    First Place Prize: Select an Eligible Charity (defined below) to receive a $5,000 USD donation.

o    Second Place Prize: Select an Eligible Charity to receive a $3,000 USD donation.

All Winners will also receive one (1) SAPPHIRENOW pass. (Approximate Retail Value (“ARV”) $1,950). If a Winner is unable to use the SAPPHIRENOW pass there will be no prize substitution, or prize of equal or comparable value awarded. Subject to Sponsor’s prior written approval and at Sponsor’s sole discretion, a Winner may designate a non-employee representative to attend the Sapphire Event.

NOTE: GOVERNMENT EMPLOYEES ARE NOT ELIGIBLE FOR THE PRIZES IDENTIFIED ABOVE, BUT MAY RECEIVE RECOGNITION FOR THEIR ACHIEVEMENTS IN THE FORM OF A COMMEMERRATIVE PLAQUE OR SIMILAR.

A list of eligible charities (each an “Eligible Charity”) that may be selected for the donation will be made available for Winners to select from. Charitable donations are subject to final approval by Sponsor. Sponsor reserves the right to substitute another charity should one of the Eligible Charities listed be disqualified or become ineligible to receive a donation. Donations will be made in the name of Sponsor directly from Sponsor to Eligible Charity. Any tax benefits from donation will be for the benefit of Sponsor as Sponsor will be making the donation to the selected charity.

Odds of winning depend on the number of Entries received during the Program Period and the skill of the Entrants (i.e., the innovative nature of their solution, and the skill exercised in creating the Entry). No other prize elements except those specifically described here are awarded. Prizes are not transferable and must be accepted as awarded, with no substitutions of any kind, except by the Sponsor, which reserves the right to substitute the prize (or portion thereof) with one of comparable or greater value, at its sole discretion. All federal, state and local taxes, as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided are the potential winner’s responsibility. All prize details are at the Sponsor’s sole discretion.

 

9.     Taxes. ANY PAYMENTS TO POTENTIAL PRIZE RECIPIENTS ARE SUBJECT TO THE EXPRESS REQUIREMENT THAT THEY SUBMIT TO SPONSOR ALL DOCUMENTATION REQUESTED BY SPONSOR TO PERMIT IT TO COMPLY WITH ALL APPLICABLE UNITED STATES, STATE, LOCAL AND FOREIGN (INCLUDING PROVINCIAL) TAX REPORTING AND WITHHOLDING REQUIREMENTS. ALL GRANTS WILL BE NET OF ANY TAXES SPONSOR IS REQUIRED TO WITHHOLD. ALL TAXES IMPOSED ON THE PRIZE, OTHER THAN THOSE SPONSOR IS REQUIRED TO WITHHOLD, ARE THE SOLE RESPONSIBILITY OF THE PRIZE RECIPIENT.

10.   Intellectual Property Rights and Grant of License. Each Entrant shall retain ownership of all intellectual property rights in each Entry (including moral rights) subject to these Official Rules. However, by entering the Program, and to the extent allowed by law, each Entrant grants SAP and its affiliates, licensees, promotional partners, developers and third party marketing entities a non-exclusive, perpetual, worldwide, royalty-free license to edit, modify, cut, rearrange, add to, delete from, copy, reproduce, adapt, publish, exploit and use the Entry, including without limitation the name and logo of the SAP Customer and/or Start-up/Partner, and the Entrant’s name, throughout the world, and in any manner, for trade, advertising, promotional, commercial, or any other purposes without further review, notice, approval, consideration, or compensation.

11.   Entrant Representations and Warranties. By entering the Program, Entrants represent and warrant that their Entries are their own original work and, as such, they are the sole and exclusive owner and rights holder of the submitted Entry and that they have the right to submit the Eligible Entry in the Program and grant all required licenses and assignments. Alternatively, in the event the Entrant is submitting the Entry on behalf of a Customer or Partner, the Entrant represents and warrants that it has been granted the right to submit the Entry, and that it meets the foregoing requirements. Each Entrant agrees not to submit any Entry that infringes any third party proprietary rights, intellectual property rights, industrial property rights, personal or moral rights or any other rights, including without limitation, copyright, trademark, patent, trade secret, privacy, publicity, or confidentiality obligations. Entrant also warrants that he/she has permission from their employer or other appropriate party such as an SAP Customer or Partner to submit the Entry.

12.   Indemnity. To the maximum extent permitted by law, each Entrant indemnifies Program Entities at all times from and against any and all liability, claims, demands, losses, damages, costs and expenses resulting from any act, default or omission of the Entrant and/or a breach of any warranty set forth herein. To the maximum extent permitted by law, each Entrant agrees to defend, indemnify and hold harmless the Program Entities from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorney’s fees) arising out of or accruing from (i) any entry or other material submitted by the Entrant that infringes any copyright, trademark, trade secret, trade dress, patent or other intellectual property right of any person; (ii) any misrepresentation made by the Entrant in connection with the Program; or (iii) any non-compliance by the Entrant with these Official Rules.

13.   Release, Publicity, and General Terms. By participating in the Program, Entrants: (i) agree, to the fullest extent of the law, to release and hold harmless Program Entities from any and all liability for any injuries, loss or damage of any kind arising from or in connection with the Program; and (ii) grant to Sponsor, its affiliates, licensees, promotional partners, developers and third party marketing entities the right to use and publish their proper name, the name and trademark(s)/logo(s) of their employer or the entity on whose behalf they are submitting the Entry, and state or province and/or country, statements, photograph, voice and/or likeness, and to assist Sponsor in obtaining the same from the SAP Customer in the event the Entrant is submitting the Eligible Entry on behalf of an SAP Customer or Partner, for any advertising and promotional purposes relating to the Program, in any media now known or hereafter devised, without further notice, compensation, consideration, review or consent and without regard to moral rights, except where prohibited by law.

Sponsor assumes no responsibility or liability for the following: (i) telephone or technical malfunctions that may occur; (ii) any incorrect or inaccurate information, any of the equipment or programming associated with or utilized in the Program, or any technical or human error which may occur in connection with the Program; or (iii) any injury or damage to participants related to or resulting from participating in the Program. If, for any reason, the Program is not capable of running as planned, including because of, tampering, unauthorized intervention, fraud, technical failures, force majeure, or any other cause beyond the control of Sponsor which may corrupt or affect the administration, security, fairness, integrity or proper conduct of the Program, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Program. Sponsor reserves the right to change these Official Rules at any time, with or without notice.

14.   Privacy. By participating in the Program, Entrant, and all of those identified in the Entry and Entry application, consents to the collection, use and disclosure of your personal information as described in these Official Rules and as described at http://www.sap.com/about/legal/privacy.html, including without limitation the addition of contact information, including person information, to the customer relationship management systems of Sponsor and its affiliated companies.

15.   Governing Law. These Official Rules are governed and interpreted by the laws of the State of New York, without regard to its conflict of law provisions.

16.   Rules & Winners. A list of winners will be available on or about May 1st, 2017 at http://innovation.saphana.com .
